By using WalkUp App at walkupapp.online ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

1. Description of Service

WalkUp App is a web application for managing walk-up music for youth sports teams. It allows team managers, parents, and players to upload, organize, and play audio files during games.

2. Eligibility

You must have a valid Google account to use the Service. Users under 18 must have parental consent. By using the Service, you represent that you have the authority to agree to these terms.

3. User Accounts and Roles

Access is role-based and granted by team managers or administrators. You are responsible for maintaining the confidentiality of your account and for all activity under your account. You agree to notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

Upload content that is illegal, harmful, or violates any third party's rights.
Attempt to gain unauthorized access to other users' accounts or data.
Use the Service to harass, abuse, or harm others.
Upload malware or any code designed to damage or interfere with the Service.
Scrape, copy, or redistribute content from the Service without permission.

5. Copyright and Audio Content

    Important: WalkUp App is a personal, non-commercial tool intended for use at private youth sports events. By uploading audio files you represent that you have the right to use them in this context, or that your use qualifies as fair use. See Section 6 for the full copyright disclaimer.
  

We respect intellectual property rights. We will respond to valid copyright takedown requests submitted to dmca@walkupapp.online in accordance with the Digital Millennium Copyright Act (DMCA).

6. Copyright Disclaimer — Audio Uploads

WalkUp App does not claim ownership of any audio files uploaded by users. All uploaded audio remains the property of its respective owners.

Audio files uploaded to WalkUp App are intended solely for personal, non-commercial use at private sporting events — specifically, brief playback of a portion of a song as a player walks up to bat. This use is analogous to the personal, non-commercial, transformative use recognized under fair use doctrine (17 U.S.C. § 107).

WalkUp App expressly disclaims all liability for any copyright infringement arising from audio files uploaded by users. By uploading an audio file, you represent and warrant that:

You own the file, have a license to use it, or your use constitutes fair use under applicable law.
Your upload and use of the file will not infringe any copyright, trademark, or other intellectual property right.
You will indemnify and hold harmless WalkUp App, its operators, and its affiliates from any claim, damage, or expense arising from your upload.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WALKUP APP AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination

We reserve the right to suspend or terminate access to the Service at any time, for any reason, without notice. You may stop using the Service at any time.

10. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
